PLAN B — Proxy Operations Structure (Merchant of Record) · Our most-inquired plan

No entity needed. KONIVO
imports and sells on your behalf.

KONIVO acts as both the Importer of Record (IoR) and Seller of Record (SoR). This structure is known in the industry as a "Merchant of Record (MoR)" model. Sales run under KONIVO-registered stores, branded as yours, across Coupang, Naver, and Kakao — while brand ownership, data, and pricing authority remain yours from day one. Legally, this operates as a consignment sales agency agreement.

Why Brands Choose Plan B

Get all the benefits of local Korean sales — without forming a Korean LLC. Skip entity setup (3–6 months, high cost) and start selling as soon as inventory lands.

All Major Local Channels
We list and sell your brand on Coupang Rocket Growth, Naver Smart Store, and Kakao under KONIVO-registered accounts. Channel accounts are operated by KONIVO; brand asset ownership belongs to you.
100% Brand Ownership Guaranteed
Your brand name, pricing authority, and customer data are yours from the start. KONIVO is your consignment sales agent — not a distributor, buyer, or equity partner. All net proceeds are remitted to you with transparent settlement statements.
Logistics & 3PL Optimization
We optimize channel-specific logistics (Coupang Rocket Growth inbound, Naver fulfillment, etc.) and connect you with our 3PL partners.
Full VAT & Tax Handling
Korean VAT registration, filing, and payment are handled under KONIVO's name. You receive only the net proceeds — no tax burden on your end.

Everything Included in Plan B

Full IoR (Importer of Record) Coverage
KONIVO is registered as the importer with Korean customs. We handle customs duties, VAT, and all clearance documentation.
Full SoR (Seller of Record) Coverage

Native Korean CS Team
Our native Korean-speaking CS team handles customer inquiries, complaints, refunds, and exchanges at first contact. Only complex issues are escalated to your team.
No Korean PG Integration Required
KONIVO handles Korean payment gateways (PG) directly. You receive only net proceeds wired to your overseas account.
Logistics & Fulfillment Optimization
Coupang Rocket Growth inbound management, domestic 3PL partner connections, and per-channel logistics cost optimization consulting.
90-Day Notice · 30-Day Transfer Guarantee
Upon contract termination: 90-day advance written notice, and full transfer of stores, data, and accounts to you within 30 days. Specified in the contract.

How the Proxy Structure Gets Set Up

1
Contract & Brand Briefing (Week 1)
We gather brand information, category details, target channels, SKU list, and compliance status. The consignment sales agency agreement is signed electronically. Product and brand ownership belongs to you before, during, and after the contract.
2
IoR & SoR Registration + Channel Setup (Weeks 2–3)
KONIVO registers as importer and seller with customs and channels. Stores are opened on Coupang, Naver, and other target channels under KONIVO's name, with your brand applied throughout.
3
Logistics Setup & Product Listing (Weeks 3–4)
We select 3PL partners, design the inbound process, and optimize product pages (Korean copy, images, SEO).
4
First Inbound & Launch (2–4 weeks after stock arrives)
You ship inventory to KONIVO's partner warehouse on DDP (Delivered Duty Paid) terms. KONIVO handles customs clearance and duties as IoR, completes channel-specific fulfillment inbound (e.g., Coupang Rocket Growth), and launches sales. The CS team goes live at this point.
5
Operations Optimization & Growth (Post-Launch)
Monthly performance reports, pricing and promotion optimization, and additional channel expansion. As you grow, we present a roadmap for transitioning to Plan C or D.

Transparent Pricing

Plan B — Frequently Asked Questions

Does brand account ownership truly belong to us?
Yes. Ownership of your brand name, customer data, reviews, and all related assets is yours from the moment the contract begins. However, due to channel policies, the registered account name on store accounts is KONIVO. Upon contract termination, following 90 days' notice, the store is fully transferred into your name within 30 days. Throughout the operating period, ownership rights and transfer entitlements are contractually vested in you.
Who controls pricing?
100% your brand. KONIVO provides per-channel competitive pricing data and recommendations, but final selling prices, discount rates, and promotional decisions all require your approval.
What happens to assets when we terminate the contract?
After 90 days' written notice of contract termination, all store accounts, inventory, customer data, and compliance documents are fully transferred to you or a party you designate within 30 days. The transfer procedure is specified in the contract.
How is VAT handled?
Korean VAT is registered, filed, and paid under KONIVO's name. Your team has no involvement in VAT processing. At settlement, you receive net proceeds after VAT deduction, wired to your overseas account.
What is the legal structure KONIVO operates under?
Plan B operates under a consignment sales agency agreement. KONIVO is your consignment sales agent — not a distributor, buyer, or equity partner. Product and brand ownership remains with you throughout. KONIVO sells on your behalf, then remits net proceeds after deducting agreed fees and commissions.
What does the "4–6 week setup" timeline refer to?
From contract signing to inventory-ready status takes approximately 3–4 weeks (IoR/SoR registration, channel setup, product page build). After you ship inventory on DDP terms, sales launch within 2–4 weeks of stock arrival. The total timeline may vary depending on your brand's readiness and category compliance requirements.
